1. Introduction and Acceptance

Welcome to Techveda Software ("Company," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of our website located at web.techvedasoftware.com (the "Website") and our software development services (the "Services").

Important: By accessing our Website, submitting inquiries, or engaging our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you disagree with any part of these Terms, you must not access the Website or use our Services.

These Terms constitute a legally binding agreement between you ("Client," "User," or "you") and Techveda Software. Additional terms may apply to specific Services and will be provided in separate Service Agreements.

2. Definitions

For the purposes of these Terms:

  • "Agreement" means these Terms and any associated Service Agreements
  • "Client" means any individual or entity that engages our Services
  • "Deliverables" means software, applications, code, documentation, and other materials provided as part of our Services
  • "Intellectual Property" means patents, copyrights, trademarks, trade secrets, and other proprietary rights
  • "Project" means a specific software development engagement
  • "Service Agreement" means a separate agreement detailing specific project terms
  • "Website Content" means all text, images, code, and materials on our Website

3. Services and Engagement Process

3.1 Service Description

We provide custom software development services including but not limited to:

  • Custom Software Development
  • Mobile Application Development
  • Web Application Development
  • UI/UX Design Services
  • Cloud Solutions and DevOps
  • Software Maintenance and Support
  • Consulting and Technical Advisory

3.2 Engagement Process

The typical engagement process includes:

  1. Initial Consultation: Free discovery session to understand requirements
  2. Proposal Submission: Detailed project proposal with scope, timeline, and pricing
  3. Service Agreement: Formal agreement outlining project specifics
  4. Project Kick-off: Onboarding and project initiation
  5. Development Phase: Agile development with regular updates
  6. Testing and Delivery: Quality assurance and final delivery
  7. Post-Launch Support: Ongoing maintenance and support

Note: All formal engagements require a signed Service Agreement. Quotes and proposals are valid for 30 days from issue date.

4. Intellectual Property Rights

4.1 Our Intellectual Property

We retain all rights, title, and interest in and to:

  • Our Website and its content
  • Our proprietary frameworks, libraries, and tools
  • Our methodologies, processes, and know-how
  • Pre-existing code and intellectual property
  • Our trademarks, logos, and brand assets

4.2 Client Intellectual Property

Clients retain all rights to:

  • Pre-existing materials provided to us
  • Client trademarks, logos, and brand assets
  • Client proprietary business information

4.3 Project Deliverables

Upon full payment of all fees, we grant Client a perpetual, worldwide, non-exclusive license to use the Deliverables for the intended purpose. Specific IP rights will be detailed in the Service Agreement.

Important: We reserve the right to reuse generic code components, libraries, and frameworks across multiple projects.

5. Fees, Payment Terms, and Taxes

5.1 Pricing Structure

Our Services may be priced using one or more of the following models:

  • Fixed Price: Predetermined price for defined scope
  • Time and Materials: Hourly or daily rates
  • Retainer: Monthly fixed fee for ongoing services
  • Milestone-based: Payments tied to project milestones

5.2 Payment Terms

  • Invoices are payable within 15 days of receipt
  • Late payments may incur interest at 1.5% per month
  • We reserve the right to suspend services for overdue payments
  • All prices are in Australian Dollars (AUD) unless specified otherwise

5.3 Taxes

All fees are exclusive of taxes. Clients are responsible for all applicable taxes including GST, VAT, or similar taxes.

5.4 Refund Policy

Refunds are handled on a case-by-case basis and are subject to the terms of the specific Service Agreement. Generally:

  • No refunds for completed work
  • Partial refunds may be considered for cancelled projects
  • Refunds require written request and approval

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information received from the other party. Confidential information includes but is not limited to:

  • Business plans and strategies
  • Technical information and specifications
  • Client data and user information
  • Financial information
  • Trade secrets and know-how

Confidentiality obligations survive termination of these Terms and continue for 3 years after disclosure.

Exclusions: Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.

7. Warranties and Limitations of Liability

7.1 Service Warranties

We warrant that:

  • Services will be performed with reasonable skill and care
  • Deliverables will conform to agreed specifications
  • We have the right to provide the Services

7.2 Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED, ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7.3 Limitation of Liability

IN NO EVENT SHALL TECHVEDA SOFTWARE BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
  • LOSS OF PROFITS, REVENUE, OR DATA
  • BUSINESS INTERRUPTION OR DOWNTIME

Our total liability shall not exceed the fees paid by Client for the specific Services giving rise to the claim.

8. Term and Termination

8.1 Agreement Term

These Terms remain in effect while you use our Website or Services. Service Agreements have specific terms as detailed in each agreement.

8.2 Termination Rights

Either party may terminate a Service Agreement:

  • For material breach with 30 days written notice
  • Immediately for insolvency or bankruptcy
  • As specified in the Service Agreement

8.3 Effects of Termination

Upon termination:

  • Client pays for all services rendered up to termination date
  • We deliver completed work and materials
  • Confidentiality obligations continue
  • Intellectual property provisions survive

9. Client Responsibilities

Clients agree to:

  • Provide accurate and complete project requirements
  • Designate a project contact with decision-making authority
  • Provide timely feedback and approvals
  • Make necessary resources available
  • Ensure they have rights to any materials provided to us
  • Comply with all applicable laws and regulations
  • Pay invoices according to agreed terms

Important: Project delays caused by Client may result in schedule adjustments and additional costs.

10. Website Use Terms

10.1 Acceptable Use

You agree not to:

  • Use the Website for unlawful purposes
  • Attempt to gain unauthorized access
  • Interfere with Website functionality
  • Scrape, data mine, or collect user information
  • Introduce malware or harmful code
  • Impersonate others or misrepresent affiliation

10.2 User Content

By submitting content through our Website (inquiries, comments, etc.), you grant us permission to use it for providing Services and improving our offerings.

11. Dispute Resolution

11.1 Negotiation

Parties agree to attempt to resolve disputes through good faith negotiation for 30 days before pursuing other remedies.

11.2 Mediation

If negotiation fails, parties agree to mediation before resorting to arbitration or litigation.

11.3 Governing Law

These Terms are governed by the laws of New South Wales, Australia. Any disputes shall be resolved in the courts of New South Wales.

12. Force Majeure

Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including:

  • Natural disasters
  • Acts of government
  • Labor disputes
  • Internet or utility failures
  • Pandemics or health emergencies
  • Other unforeseeable circumstances

13. Miscellaneous Provisions

13.1 Entire Agreement

These Terms, together with any Service Agreements, constitute the entire agreement between the parties.

13.2 Amendments

We may update these Terms from time to time. Continued use of our Services after changes constitutes acceptance.

13.3 Severability

If any provision is found invalid, the remaining provisions remain in effect.

13.4 Assignment

Clients may not assign these Terms without our written consent. We may assign these Terms to affiliates or successors.

13.5 Waiver

Failure to enforce any provision does not constitute a waiver.

13.6 Notices

Notices shall be in writing and sent to the addresses provided in the Service Agreement or via email to legal@techvedasoftware.com.
